1. About these terms

Prism Seller is operated by Spaweval Technologies Pvt. Ltd. (“we”, “us”). These terms are an agreement between you and Spaweval Technologies Pvt. Ltd. and apply to the Prism Seller website, web app and Chrome extension (together, “Prism Seller”). By creating an account or using Prism Seller you agree to them. If you use Prism Seller for a business, you confirm you may accept these terms for it.

2. Your account

• Give us accurate details and keep your password private. You are responsible for what happens under your account.
• Add only Meesho accounts and reports you own or are authorised to use.
• Tell us straight away if you think someone else has used your account.

3. What Prism Seller does — and does not do

Prism Seller reads the reports you provide from your Meesho supplier panel and calculates order status, settlements, differences, returns, profit and related figures. The results are only as complete and accurate as those reports. Prism Seller is a tool to help you review your figures; it is not accounting, tax or legal advice, and it does not act on your behalf with Meesho. 4. Acceptable use

• Do not use Prism Seller to break any law or Meesho's terms, or to access accounts or data that are not yours.
• Do not try to break, overload, copy or reverse-engineer the service, or get around its limits or security.
• Do not upload files that contain malware or that you have no right to share.

5. Plans, credits and charges

• Plans are bought in advance. The plan amount becomes credits in your wallet (1 credit = ₹1), with any bonus credits shown on the plan. Prices are shown before GST; where GST applies it is added at checkout and shown on your invoice.
• Each of your stores is charged a monthly amount from your wallet, after the month ends, according to the price table on the Pricing page and in Settings → Billing at the time.
• While a month runs, its charges so far must stay within your wallet. If they would not, uploads and syncs pause and your account becomes read-only until you top up. Your data is not deleted.
• Credits do not expire and cannot be exchanged for cash, except as set out in our Refund Policy.
• We may change prices or plans. Changes never affect credits already in your wallet, and we will give you notice before a change to monthly charges applies to you.

6. Your data

Your data stays yours. You give us permission to store and process it only to provide Prism Seller to you. How we handle it is described in our Privacy Policy.

7. Availability

We work to keep Prism Seller available and accurate, but we do not promise it will be uninterrupted or error-free. We may change, improve or remove features from time to time.

8. Suspension and closing your account

You can stop using Prism Seller and delete your account at any time. We may suspend or close an account that breaks these terms, puts others at risk, or is used unlawfully. Where reasonable, we will tell you first and give you a chance to download your data.

9. Liability

To the extent the law allows, we are not liable for indirect or consequential losses, lost profits or lost data, and our total liability for any claim is limited to the amount you paid us in the three months before the claim. Nothing in these terms limits liability that cannot be limited by law.

10. Meesho

Prism Seller is an independent product of Spaweval Technologies Pvt. Ltd.. It is not affiliated with, endorsed by or sponsored by Meesho. Meesho and its marks belong to their owner.

11. Changes to these terms

We may update these terms. If a change matters, we will tell you in the app or by email before it takes effect. Using Prism Seller after that means you accept the updated terms.

12. Law

These terms are governed by the laws of India, and the courts of India have jurisdiction over any dispute.
